1 Definitions and interpretation

In this Agreement, the words and expressions set out below shall have the following
meanings:

1.3 Words importing one gender shall be treated as importing any gender, words importing
individuals shall be treated as importing corporations and vice versa, words importing the
singular shall be treated as importing the plural and vice versa, and words importing the
whole shall be treated as including a reference to any part thereof.

governed by English law.

4.2 The parties irrevocably agree that the English courts shall have exclusive jurisdiction to settle
any dispute or claim (whether contractual or non-contractual) arising out of or in connection
with this Agreement, its subject matter or formation.
