Carried interest partnership structuring and formation

The HLaw Private Funds team advised a Spanish alternative investment fund manager on the structuring and formation of a carried interest vehicle to facilitate carried interest participation by their UK employees.

The team advised the client on drafting the carried interest vehicle limited partnership agreement and adherence agreement; the financial promotion of limited partnership interests; and the FCA regulatory perimeter around establishing and operating a collective investment scheme.

As is often the case, the tiered vesting and carry allocation provisions needed to be considered carefully.
