Family office based in Asia invests $5m into UK biopharmaceutical company specialising in RNA drug delivery

Our venture capital team advised the existing lead investor on a new investment of an additional $5 million into a UK biopharmaceutical company specialising in RNA drug delivery looking to bridge from a prior series B round to an eventual series C.  The transaction was structured as a convertible loan and saw the existing capital structure of the company adjusted by means of an arrangement using penny warrants to mirror the workings of an anti-dilution ratchet.  This was yet another transaction in the life sciences where HLaw has been advising.
